On May 19, 2014, PT Charoen Pokphand Jaya Farm (“the Buyer”), the subsidiary of the Company, and PT Sierad Produce Tbk (“the Seller”) signed the Asset Sale and Purchase Agreement No. 20, before Antonius Wahono Prawirodirdjo, SH, Notary in North Jakarta (the “Transaction”). The objects of the Transaction are (1) Fixed assets, consisting of (a) several plots of land together with the buildings and other supporting facilities thereon, and (b) machinery and equipment; (2) Inventory; and (3) Breeding flocks, all of which are owned and/or controlled and used by the Seller for its activities in poultry breeding business, which is located at Kecamatan Curugbitung and Kecamatan Maja, Kabupaten Lebak, Provinsi Banten. The value of the Transaction is Rp430,000,000,000 (four hundred and thirty billion Rupiah). The objective of the Transaction is to improve the capacity of the Buyer’s poultry breeding business, which is its main business activity.
